These Terms of Service (the “Terms”) set out the conditions under which TERAKAWA Photo Office (the “Studio”) provides architectural photography services (the “Services”). By using the Services, you (the “Client”) are deemed to have agreed to these Terms.
Article 1 — Application
These Terms apply to all matters relating to the use of the Services between the Client and the Studio.
Article 2 — Formation of Engagement
An engagement is formed when the Client requests a quotation from the Studio, the Studio issues that quotation, and the Client agrees to its contents.
Article 3 — Fees and Payment
- Fees are based on the quotation issued by the Studio.
- Unless otherwise agreed, payment is made by bank transfer within 30 days of delivery.
- Actual travel and accommodation expenses for assignments outside the Tokyo metropolitan area will be invoiced separately.
- For international clients, payment may be made by bank wire transfer in JPY. Any transfer fees are to be borne by the Client.
Article 4 — Copyright and Scope of Use
- Copyright in all photographic works produced under the Services remains with the photographer (Naoki Terakawa).
- The Client may use the delivered photographs freely within the normal scope of their own business — including their own website, printed materials and social media accounts.
The following uses require prior written consent from the Studio:
- Transfer or resale to third parties
- Commercial use such as advertising, posters and similar materials
- Use as stock photography or in image libraries
- Use involving modification or significant alteration of the images
The Studio reserves the right to use the photographs for its own portfolio, website, social media and editorial publications. If the Client has any concerns regarding portfolio publication (for example, with respect to private residences), please notify the Studio in advance.
Article 5 — Cancellation
Cancellation or postponement fees apply as follows:
- 4 or more days before the shoot — free of charge
- 2 to 3 days before the shoot — 30% of the fee
- 1 day before the shoot — 50% of the fee
- On the day of the shoot — 100% of the fee
Where postponement or cancellation arises from weather, natural disaster or any other cause not attributable to either party, the parties will consult in good faith to agree on an alternative arrangement.
Article 6 — Delivery and Acceptance
- Photographic data is normally delivered within 2 to 3 weeks of the shoot, via large-file transfer service or a dedicated cloud link.
- If the Client does not raise any objection within 7 days of delivery, acceptance is deemed complete.
- In the event of clear technical defects in the photography, the Studio will reshoot or correct the work at no charge. Reshoots are not available for results arising from weather conditions, the state of the subject, or instructions given by the Client.
Article 7 — Disclaimer
- The Studio shall not be liable for delays or failures in performing the Services caused by natural disasters, transportation issues or other circumstances beyond its reasonable control.
- The Studio shall not be liable for accidents or other incidents at the shoot location, except in cases of intentional misconduct or gross negligence on the part of the Studio.
- Photographic data is, as a general rule, retained for approximately three years after delivery. Re-issuance after this period may not be possible.
Article 8 — Prohibited Conduct
The Client shall not engage in any of the following in connection with the Services:
- Acts that violate laws or public order and morals
- Acts that infringe the intellectual property rights of the Studio or any third party
- Acts that interfere with the operation of the Services
- Removing or altering copyright notices without authorisation
Article 9 — Amendment of these Terms
The Studio may amend these Terms when it deems necessary. The amended Terms take effect once posted on this website.
Article 10 — Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
